This End User License Agreement (“Agreement” or “EULA”) is a binding legal agreement between you and the organization on whose behalf you act (the “Licensee” or “Firm”) and Eutin Warren Private Limited (“inchambers.ai”, “we”, “us”) governing your license to install and use the Inchambers software, including the self-hosted firm Gateway, the Microsoft Word add-in, the web application, the desktop companion, and all related components, updates, and documentation (collectively, the “Software”). This EULA supplements, and is in addition to, our Terms of Service and Privacy Policy. By installing, deploying, accessing, or using the Software — or by accepting a License Key — you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. Definitions

“Software” means the Inchambers programs in object/binary and any provided form, including the firm Gateway relay, add-in, web app, desktop companion, container images, configuration, and documentation. “Gateway” means the firm-hosted relay component intended to run on infrastructure controlled by the Licensee. “Seat” means a single named individual authorized to access the Software under the Licensee’s subscription. “License Key” / “Entitlement” means the cryptographically signed credential we issue that authorizes a specific deployment, encoding the Licensee’s organization, permitted Seats, tier, and validity period. “Documentation” means the user and deployment materials we provide.

2. License Grant

Subject to your continuous compliance with this Agreement and payment of all applicable fees, we grant the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during the subscription term, to: (a) install and run one Gateway instance on infrastructure the Licensee owns or controls; (b) permit up to the number of Seats encoded in the active License Key to access the Software; and (c) use the Software solely for the Licensee’s own internal legal and business operations. No rights are granted except as expressly stated. All rights not expressly granted are reserved.

3. License Key and Entitlement

The Software requires a valid, current License Key to operate. The License Key is cryptographically signed by us and is bound to the Licensee’s organization, Seat count, tier, and validity period. You acknowledge and agree that: (a) the Software validates the License Key on startup and periodically during operation; (b) upon expiry, non-payment, or revocation, the Software may continue to operate for a limited grace period and will thereafter cease to provide licensed functionality (“fail-closed”); and (c) you will not tamper with, bypass, disable, falsify, share, or circumvent the License Key, the entitlement checks, the Seat limits, or any associated security or metering mechanism. Circumvention is a material breach of this Agreement.

4. Restrictions

Except to the limited extent that applicable law expressly permits despite this restriction, you shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, prompts, models, or algorithms of the Software; (b) copy, reproduce, distribute, publish, sell, resell, rent, lease, lend, sublicense, or otherwise make the Software available to any third party, or operate it as a service bureau or for the benefit of anyone other than the Licensee; (c) modify, translate, or create derivative works of the Software; (d) remove, obscure, or alter any proprietary notices, marks, or License Key mechanisms; (e) exceed the licensed Seat count or use the Software beyond the scope granted; (f) separate components of the Software for use on more than one deployment except as expressly permitted; (g) publish or disclose benchmarks, the Software’s internal design, schema, or security implementation; or (h) use the Software to build a competing product. The Software is licensed, not sold.

5. Ownership and Confidentiality

The Software, including all binaries, container images, prompts, playbooks, configuration, design, schema, and Documentation, is and remains the exclusive property of Eutin Warren Private Limited and is protected by intellectual property laws. The Software embodies our confidential information and trade secrets. The fact that the Software may run on infrastructure you control does not transfer any ownership to you and does not authorize you to inspect, extract, copy, or repurpose its internals. You will treat the Software and any License Key as confidential and protect them with at least the same care you use for your own confidential materials.

6. Seats, Metering, and Fees

The Software is licensed on a per-Seat basis. Fees are charged monthly based on the number of Seats authorized for the Licensee, at the per-Seat rate for the Licensee’s tier. You authorize us to meter and record the Seat count associated with your organization for billing and license-administration purposes. We issue invoices monthly; invoices are payable within the period stated on the invoice. We may suspend or revoke the License Key, or fail-close the Software after the grace period, for non-payment or for exceeding licensed Seats. Fees are exclusive of taxes, which are your responsibility. Seat counts and tier are administered by us and reflected in the License Key.

7. On-Premise Deployment, Privacy, and Security

When you deploy the Gateway on your own infrastructure, you are responsible for the security, availability, networking, and maintenance of that infrastructure, including operating-system hardening, network controls, backups, and access management. Consistent with our privacy-first architecture, we do not access, store, or transmit the content of your documents, your end-users’ prompts and responses, your provider credentials, or your practice-management data; these remain within your control. You are responsible for the configuration of, and the credentials and provider keys you supply to, your Gateway. You agree to deploy only images and builds we provide, to keep the Software reasonably up to date, and to apply security updates we make available. We may provide a limited, content-free control channel (for License Key issuance, version/heartbeat, and updates) that does not carry your documents or end-user data.

8. Updates and Support

We may provide updates, patches, and new versions of the Software from time to time, which are governed by this Agreement unless accompanied by separate terms. We may discontinue, modify, or change components of the Software. Support is provided according to the plan or order applicable to the Licensee. You acknowledge that failure to apply updates may affect security, compatibility, and entitlement validation.

9. Term and Termination

This Agreement is effective upon your first installation, deployment, or acceptance of a License Key and continues for the subscription term and any renewals. We may suspend or terminate this Agreement and revoke the License Key upon any material breach (including circumvention of the License Key or Seat limits, reverse engineering, redistribution, or non-payment), and either party may terminate as set out in the applicable order. Upon expiry or termination: (a) all licenses granted immediately end; (b) you must cease all use of the Software, decommission the Gateway, and destroy or return all copies, images, and License Keys in your possession; and (c) the Software will fail-close. Sections concerning ownership, confidentiality, restrictions, disclaimers, limitation of liability, and fees accrued survive termination.

10. Verification and Compliance

We may verify your compliance with this Agreement, including Seat counts and License Key integrity, through the Software’s built-in license-administration and heartbeat mechanisms, which report license and version status (and never your documents or end-user data). Upon reasonable notice, you agree to certify your deployment count and Seat usage. If verification reveals usage exceeding your entitlement, you agree to pay the applicable fees for the excess.

11. Disclaimers and Warranties

The Software is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be uninterrupted, secure, or error-free, or that AI-generated content will be accurate or suitable for any matter. The Software is a tool for legal professionals and does not provide legal advice; you are solely responsible for reviewing and verifying all output. You are responsible for the security of the infrastructure on which you deploy the Gateway.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall Eutin Warren Private Limited or its affiliates, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to the Software or this Agreement. Our total aggregate liability shall not exceed the fees you paid us for the Software in the 12 months preceding the claim, or US$100, whichever is greater. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. General

This Agreement, together with the Terms of Service, Privacy Policy, and any applicable order, is the entire agreement between the parties regarding the Software. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our written consent; we may assign it to an affiliate or successor. You will comply with all applicable export, sanctions, and import-control laws. This Agreement is governed by applicable law, and disputes are subject to the exclusive jurisdiction of the competent courts, as further set out in our Terms of Service.
